Notification of termination - limited liability companies

According to law, a limited liability company cannot be informally dissolved. Instead it can only be dissolved by liquidation or bankruptcy. Read the instructions on the PRH website.Open link in a new tab

File a notification of termination to the Trade Register using a paper form

A limited liability company is deemed to have been dissolved once the liquidators have presented the final accounts to the General Meeting. File a notification of termination of a limited liability company to the Trade Register using form Y4 and appendix form 15 (available only in Finnish and in Swedish). Use form Y4 also for filing notifications to the Tax Administration’s Employer Register, Prepayment Register and VAT Register.

It is not yet possible for limited liability companies to report notifications of termination online.

  • To notify termination only with the Tax Administration, use form Y4.
  • To notify termination of a limited liability company, use form Y4 and Appendix Form 15 in Finnish or in Swedish.

Remove the limited liability company from the Tax Administration's registers online

If you wish, you can keep the limited liability company in the Trade Register but remove it from the Tax Administration’s Employer Register, Prepayment Register and VAT Register. Use the online to report changes.

Notifications of termination to the Tax Administration are always free of charge.
